Delivery Policy

eLearnLXD provides bespoke learning experience design services, including but not limited to instructional design, curriculum architecture, eLearning content development, multimedia production, and learning technology consultancy. All deliverables are digital in nature; no physical goods are shipped or sold.

Project Initiation

Delivery timelines commence upon receipt of both (a) a signed Statement of Work (SOW) or project agreement, and (b) the agreed initial payment or deposit as specified in the SOW. Work will not begin until both conditions are satisfied.

Delivery Timelines

Project timelines, milestones, and delivery dates are specified in each individual SOW. eLearnLXD will use commercially reasonable efforts to meet agreed deadlines. Timelines are contingent upon:

  • Timely receipt of client-supplied materials, feedback, and approvals at each review stage
  • Prompt responses to clarification requests (within 3 business days unless otherwise agreed)
  • The scope of the project remaining unchanged from the signed SOW
  • eLearnLXD shall not be held liable for delays caused by client inaction, late provision of source materials, or scope changes requested after project initiation.

Delivery Method

All completed deliverables are delivered digitally via secure file transfer, shared cloud folder, email, or direct upload to a client-designated platform, as agreed in the SOW. eLearnLXD will confirm delivery in writing (email confirmation is sufficient).

Review and Acceptance

Unless otherwise specified in the SOW, clients have 5 business days from delivery of each milestone to review and provide written feedback or approval. Silence beyond this period will be treated as acceptance of the deliverable as submitted.

Each project includes the number of revision rounds specified in the SOW. Revisions beyond the agreed number will be scoped and billed separately at eLearnLXD’s prevailing day rate.

Intellectual Property Transfer

Ownership of final deliverables transfers to the client only upon receipt of full payment. eLearnLXD retains ownership of all proprietary tools, frameworks, templates, and processes used in the creation of deliverables, unless explicitly agreed otherwise in writing.

Force Majeure

eLearnLXD shall not be liable for delays resulting from circumstances beyond its reasonable control, including but not limited to natural disasters, service outages of third-party platforms, or other force majeure events. In such cases, eLearnLXD will notify the client promptly and propose a revised timeline.

 

Refund & Cancellation Policy

General Principle

Given the bespoke and time-intensive nature of learning experience design work, eLearnLXD’s refund and cancellation terms are designed to fairly reflect the work completed at the point of any cancellation. All fees are quoted in USD unless otherwise stated in the SOW.

Cancellation by the Client

Clients may cancel a project by providing written notice to eLearnLXD at hello@elearnlxd.com or via the contact details on file in the SOW.

Cancellations are subject to the following schedule, calculated from the date written notice is received:

Stage of Cancellation Fee Retained by eLearnLXD
Before project initiation (prior to kickoff call) Deposit only (as specified in SOW)
After kickoff but before delivery of first milestone 50% of total project fee
After delivery of first milestone 100% of fees for completed milestones; 50% of fees for milestones in progress
After delivery of final milestone 100% of total project fee

“In progress” means a milestone has been actively worked on but not yet delivered to the client.

Any amounts paid in excess of the retained fee will be refunded to the client within 14 business days of the cancellation notice, via the original payment method where possible.

Refunds for Delivered Work

eLearnLXD does not offer refunds for deliverables that have been accepted — expressly or by lapse of the review period per the Delivery Policy above. If a client believes a deliverable does not meet the agreed specifications, they must raise this in writing within the review period, and eLearnLXD will make commercially reasonable efforts to remedy the issue through the revision process.

Cancellation by eLearnLXD

eLearnLXD reserves the right to cancel a project in the following circumstances:

  • Non-payment of an invoice beyond 30 days of the due date
  • Client failure to provide required materials or approvals for more than 30 consecutive calendar days, causing project stall
  • Circumstances rendering continued performance impossible or commercially unreasonable

In the event eLearnLXD cancels due to its own inability to perform (and not due to client default), a pro-rata refund will be issued for work not yet commenced.

Subscription or Retainer Arrangements

Where eLearnLXD has agreed to provide ongoing services under a retainer or subscription model:

  • Cancellation requires 30 days’ written notice prior to the next billing cycle
  • No refunds will be issued for the current billing period once it has commenced
  • Unused retainer hours do not carry forward beyond the period specified in the agreement

Dispute Resolution

Any refund dispute or cancellation disagreement not resolved between the parties within 30 days of written notice shall be finally settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The seat of arbitration shall be Wilmington, Delaware, USA. The language of proceedings shall be English. The arbitrator’s award shall be final and binding, and may be entered as a judgment in any court of competent jurisdiction.

Nothing in this clause prevents either party from seeking interim injunctive or equitable relief from a court of competent jurisdiction to prevent irreparable harm pending the conclusion of arbitration.

Governing Law

These policies and any disputes arising from them shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law provisions.
